These Terms and Conditions ("Agreement") apply to all services provided by Miadomus LLC, a [State] company with its principal place of business at [Address], ("Company", "we", "our", or "us") to the client ("Client", "you", or "your").
1. Scope of Services
We provide custom design, manufacturing, and installation services for kitchens, bathrooms, closets, and other residential or commercial interiors. All services will be outlined in a separate project estimate or agreement and are subject to these Terms.
2. Project Timeline
The timeline for completion will be outlined in the project agreement. Delays due to supply chain disruptions, third-party contractors, or unforeseen circumstances are not the responsibility of the Company.
3. Design Approval
All design work must be approved in writing by the Client before manufacturing begins. Any changes after approval may result in additional charges and project delays.
4. Payment Terms
A deposit of 60% is required upon signing the agreement. Progress payments will be outlined in the proposal. Final payment is due upon project completion. We reserve the right to pause or terminate work if payments are not made as agreed.
5. Warranty
We offer a limited warranty on workmanship and materials for a period of 1 year from the completion date. This does not cover damages due to misuse, accidents, natural wear and tear, or modifications by third parties.
6. Client Responsibilities
Clients must ensure access to the property and provide a clean and safe working environment. It is the Client’s responsibility to verify all final measurements, utility placements, and municipal or building code compliance unless otherwise agreed in writing.
7. Ownership and Use of Designs
All designs remain the intellectual property of the Company unless explicitly transferred in writing. Reproduction or distribution of the design work without written consent is prohibited.
8. Photography and Marketing Rights
By accepting these Terms, you grant the Company the irrevocable right to photograph the completed work for use in marketing materials, including but not limited to our website, social media, brochures, and portfolios. We will ensure that no personal identifiers (e.g., faces, names, addresses) are included in such photographs without prior consent.
9. Cancellations and Refunds
Cancellation after project commencement may result in forfeiture of deposits or payments to cover materials, labor, and restocking fees. Custom items are non-refundable.
10. Liability and Indemnity
We are not liable for damages resulting from pre-existing conditions, structural issues, or third-party contractor work. Client agrees to indemnify and hold harmless the Company against all claims, damages, or liabilities arising from the project unless caused by our direct negligence.
11. Dispute Resolution
Any disputes arising from this Agreement shall first be attempted to be resolved informally. If resolution cannot be reached, disputes shall be settled through binding arbitration in [Medley, Florida], in accordance with the rules of the American Arbitration Association.
12. Governing Law
This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of law principles.
13. Amendments
Any amendments to this Agreement must be made in writing and signed by both parties.
By approving a quote or initiating service with Miadomus LLC, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
